Section 5 – Corporate Governance and Management

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e)    On October 2, 2019, Viacom Inc. (“Viacom”) entered into an employment agreement (the “Agreement”) with Doretha (DeDe) F. Lea, Viacom’s Executive Vice President, Global Government Affairs. Under the Agreement, Ms. Lea will serve as Executive Vice President, Global Public Policy and Government Relations, of the surviving corporation of the proposed merger of Viacom with and into CBS Corporation, a Delaware corporation (“CBS”), pursuant to the Agreement and Plan of Merger, dated as of August 13, 2019, as may be amended and supplemented from time to time (the “Merger Agreement”), by and between Viacom and CBS, upon the terms and subject to the conditions set forth therein. The term of Ms. Lea’s employment under the Agreement will begin on the closing date of the merger and end on the third anniversary of such closing date. If the Merger Agreement is terminated without the merger closing, the Agreement will be null and void. Ms. Lea will continue to participate in connection with the Agreement in the Viacom Inc. Executive Retention Plan for Section 16 Officers, as described in our Current Report on Form 8-K filed with the Securities and Exchange Commission on August 19, 2019.

The other terms and conditions of Ms. Lea’s employment agreement, dated as of November 14, 2016, remain the same, except that Ms. Lea will be eligible under the Agreement to receive an annual cash bonus with a target value of 100% of her annual base salary, increased from 80%.

The foregoing description of the Agreement is qualified in its entirety by the terms and conditions of the Agreement, which we expect will be filed with the Form S-4 registration statement to be filed by CBS in connection with the proposed merger.
