Information with respect to the Reporting Person’s ownership of the Warrants, each whole warrant exercisable for one share of Common Stock at an exercise price of $11.50 per share as of February 1, 2022, is incorporated by reference to items (5) - (9) and (11) of the cover page for the Reporting Person.

The amount beneficially owned by the Reporting Person is determined based on 12,206,378 shares of common stock and 1,858,517 Warrants, each whole warrant exercisable for one share of Common Stock at an exercise price of $11.50 per share, outstanding as of 2/1/2022.
