EXPLANATORY NOTE
On March 2, 2023, Better Choice Company Inc. filed its Form 8-K (“Original Form 8-K”) to report the resignation of its Chief Operating Officer. The Original Form 8-K did not include Item 7.01. This Amendment No. 1 to the Original Form 8-K is filed solely to include Item 7.01.


Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers
On March 2, 2023, Better Choice Company Inc. (the "Company") announced that Robert Sauermann, age 31, informed the Company of his intention to resign from his position as Chief Operating Officer of the Company. The resignation is effective March 17, 2023 and does not involve any disagreement or any matter relating to the Company’s operations, policies or practices (financial or otherwise).
Item 7.01    Regulation FD Disclosure
On March 2, 2023, the Company issued a press release announcing that it has streamlined operations and made a reduction in its workforce. The reduction impacted approximately 25% of the Company’s workforce and it expects to save approximately $2.2 million on an annual basis.
