On February 9, 2023, Ault Alliance, Inc., a Delaware corporation (the “Company”) issued a press release announcing that the Company had entered into a share exchange agreement with Ecoark Holdings, Inc. (“Ecoark”), pursuant to which, at closing, Ecoark would acquire 100% of the outstanding equity of the Company’s subsidiary, BitNile.com, Inc., in exchange for the issuance of shares of preferred stock of Ecoark having a stated value of $100 million.
