Exercise of Warrants
Kazera Global Plc ("Kazera Global", "Kazera" or "the Company"),
the AIM quoted investment company, announces that the Company has
issued 16,666,666 ordinary shares in the Company ("Ordinary
Shares") to satisfy the exercise of warrants by two of the
Company's Directors, Giles Clarke and Nick Harrison. The exercise
price for the warrants is 0.3 pence per share.
Application has been made to the London Stock Exchange to admit
16,666,666 new Ordinary Shares to trading on AIM. Admission of the
New Ordinary Shares is expected to occur on or around 13 October
2021 ("Admission"). The new Ordinary Shares will rank pari passu
with the existing Ordinary Shares.
Following the exercise of these warrants, Giles Clarke will
increase his holding in the Company to 28,166,076 representing
3.76% of the issued share capital. Nick Harrison will increase his
holding to 28,232,742 representing 3.77% of the issued share
capital. A further 14,338,095 shares representing 1.92% of the
issued share capital of the Company are held by Westleigh
Investments Holdings Ltd, a company owned by Giles Clarke and Nick
Harrison.
Following Admission, the issued share capital of the Company
will be 747,462,275 Ordinary Shares and this figure may be used by
shareholders as a denominator for the calculations by which they
will determine if they are required to notify their interest in or
change to their interest in the Company under the Disclosure
Guidance and Transparency Rules published by the UK Financial
Conduct Authority. There are no Ordinary Shares held in treasury
and each Ordinary Share entitled the holder to a single vote at
general meetings of the Company. Therefore, the total number of
voting rights in the Company will be 747,462,275.
