                       PRIVATE INVESTORS CAPITAL TRUST PLC
                                        
                                        
Private Investors Capital Trust PLC ("the Company") announces that 1,121,710
Ordinary shares of �1 each were allotted on 8 November 2004 as a result of the
conversion of 2,995,000 Convertible Bonds of the Company.  The total issued
capital has therefore increased to 6,553,299 Ordinary shares and the nominal
value of the Convertible Bonds in issue has reduced to �120,000.

Dealings in the 1,121,710 new shares are expected to commence on 10 November
2004.
