(the "Company")
Scrip dividend election, PDMR dealing and total shares in
issue
The Company announces the following information in relation to
the ordinary share capital of the Company:
Elections to accept the scrip dividend alternative with regard
to the final dividend of 11.6p per share for the year ended 31
October 2022 paid on 28 April 2022 were received from the holders
of 2,748,009 ordinary shares of 25p each in the Company ("Ordinary
Shares") in aggregate. This represents approximately 12.2% of the
Ordinary Shares in issue on 31 March 2023, being the record date
for the interim dividend. Accordingly, 72,372 new Ordinary Shares
have been issued in satisfaction of such elections at an equivalent
price of GBP4.415 each, increasing the enlarged issued Ordinary
Share capital of the Company to 22,554,586 Ordinary Shares. The
additional cost to the Company of the dividend paid in cash amounts
to approximately GBP2,289,230 in total.
In the issue, as set out in the dealing notifications below, two
directors of the Company received new Ordinary Shares in lieu of
cash dividends.
Application has been made for the new Ordinary Shares to be
admitted to trading on AIM. Dealings are expected to commence on 02
May 2023.
Following the above transactions and for the purposes of the
Financial Conduct Authority's Disclosure and Transparency Rules,
the total number of Ordinary Shares in issue as at the date of this
notice is 22,554,586 with each share carrying the right to one
vote. There are no shares held in treasury. Therefore, the total
number of voting rights in the Company is 22,554,586.
The above figure may be used by shareholders in the Company as
the denominator for the calculations by which they will determine
if they are required to notify their interest in, or a change to
their interest in, the share capital of the Company under the
Disclosure and Transparency Rules.
