State below in reasonable detail the reasons why the Form 10-K could not be filed within the prescribed time period.

 

iSpecimen Inc. (the “Company”) has determined that it is unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2024 (the “Form 10-K”) by March 31, 2025, the original due date for such filing, without unreasonable effort or expense. The delay is primarily due to the recent change in the Company’s independent registered public accounting firm. On March 7, 2025, Wolf & Company, P.C. resigned as the Company’s auditor, and on March 10, 2025, the Company engaged Bush & Associates CPA LLC as its new independent auditor. As a result of the timing of this transition, the Company anticipates filing the Form 10-K after March 31, 2025, but on or prior to April 15, 2025.
