On October 28, 2010 HSBC Finance Corporation (“HSBC Finance” or the “Company”) issued press releases announcing that the Company has commenced private offers to exchange certain outstanding debt securities for, in each case, its senior subordinated notes due January 2021.  The exchange offers are being conducted pursuant to Rule 144A and Regulation S of the Securities Act of 1933, as amended.
