Explanatory Note
This Current Report on Form 8-K/A is being filed as an amendment (“Amendment No. 1”) to the Current Report on Form 8-K filed by Pacific Oak Strategic Opportunity REIT, Inc. (the “Company”) with the Securities and Exchange Commission on May 31, 2023 (the “Original Form 8-K”) solely to update information shown on slides 15 to 17 of the bondholder presentation materials (“Bondholder Presentation”) furnished as Exhibit 99.3 thereto. Slides 15 to 17 have been corrected in the attached Exhibit 99.3 to this Amendment No. 1. No other changes have been made to the Original Form 8-K.
ITEM 7.01 REGULATION FD DISCLOSURE
On June 5, 2023, Pacific Oak SOR (BVI) Holdings, Ltd., a wholly-owned subsidiary of the Company, filed an amended bondholder presentation that it intends to use from time-to-time in meetings with prospective bondholders. The English translation of the amended bondholder presentation are attached as Exhibit 99.3 to this Form 8-K/A.
Exhibit 99.3 attached hereto is a replacement of the English translation of the amended Bondholder Presentation furnished in the Original Form 8-K reflecting updated information on slides 15 to 17. The information in this Form 8-K/A and Exhibit 99.3 attached hereto shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, except as shall be expressly set forth by specific reference in such filing.
