The following announcement was made on 5 July 2006 on the Johannesburg Stock
Exchange by Samroc.



DIRECTORS DEALING IN SA MINERAL RESOURCES CORPORATION LIMITED ("Samroc")



In compliance with the requirements of paragraph 3.63 of the JSE Limited
Listings Requirements, the following disclosure is made:



GVM Metals Limited ("GVM"), a company registered in Australia and listed on the
Australian Stock Exchange, has disposed of 15,000,000 ordinary shares in Samroc
at 2 cents per share, for an aggregate of R300 000, on 21 June 2006.



GVM has also, on 30 June 2006, granted an option to the purchaser of the
abovementioned shares to sell the balance of its holding of 98,000,000 ordinary
shares in Samroc also at 2 cents per share.



Clearance was obtained for both transactions in terms of paragraph 3.66 of the
Listings Requirements.



Messrs R Linnell and S Farrell who are directors of Samroc, are directors of GVM
and as such have an indirect interest in the Samroc shares disposed of.
