Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Edel O’Sullivan Coyne (Edel O’Sullivan) will be stepping down as Chief Commercial Officer (CCO) of Harley-Davidson Motor Company, a subsidiary of Harley-Davidson, Inc., effective February 9, 2024. Ms. O’Sullivan has served as the CCO since February 2021. As Ms. O’Sullivan pursues another opportunity outside of the Company, we wish her well with our gratitude and respect for her many contributions to Harley-Davidson over her tenure.

Luke Mansfield, Vice President of Motorcycle Management at Harley-Davidson Motor Company, has today been appointed as Chief Commercial Officer, effective February 12, 2024. Since joining Harley-Davidson Motor Company in 2018, Mr. Mansfield has held various leadership roles at the Company, including Vice President – Chief Strategy Officer from 2018 to 2020 and most recently Vice President – Motorcycle Management from 2020 to his current appointment as CCO. Mr. Mansfield previously held senior leadership positions at Samsung and PepsiCo.
