QUEBEC CITY, May 22, 2012 /CNW/ - Botaneco Corp. ("Botaneco" or the "Corporation") , a health science company focused on natural ingredients in the personal care industry, announces that Michael Stangel, former President and Chief Executive Officer of the Corporation, has tendered his resignation from the Board of Directors. As part of the termination arrangement with Mr. Stangel with respect to the termination of his employment in November 2011, the Corporation has agreed to issue to Mr. Stangel 235,294 Common Shares of the Corporation (the "Common Shares") at an issue price of $0.085 per Common Share and 200,000 stock options. The stock options have an exercise price of $0.10 and are governed by the Stock Option Plan of the Corporation. Therefore, the stock options will cease to be exercisable 90 days after the resignation of Mr. Stangel from the Board of Directors.
