Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 29, 2008 David E. Baer and Mary L. Jeffries resigned from their positions as directors of Enable Holdings, Inc. (the “Company”). Mr. Baer also resigned as a member of the Company’s governance committee and Ms. Jeffries resigned as a member of the Company’s compensation committee and the Company’s audit committee.

The remaining four members of the Company’s Board of Directors have initiated the process of replacing these two open board seats as soon as possible.

A copy of the press release announcing Mr. Baer’s and Ms. Jeffries’ resignations is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
