Results of the Annual General Meeting held on 20 June 2024

 

At the Annual General Meeting ('AGM') of Kingfisher plc (the 'Company') held earlier today, all resolutions were voted upon by poll and were passed by shareholders. Resolutions 1 to 15 were passed as ordinary resolutions; resolutions 16 to 19 were passed as special resolutions. The Board notes that Resolution 15 (Authority to allot shares) was supported by the majority of shareholders voting at the AGM with 79.24% of votes cast in favour and 20.76% cast against. The Company understands that certain of its larger shareholders are not supportive of this authority as a matter of general policy.

 

The Company will continue to consult and engage with shareholders to better understand the reasons behind these votes against and will publish an update of its shareholder engagement within six months of today's AGM.

**   A vote withheld is not a vote in law and, therefore cannot be counted in the calculation of the proportion of   

     votes for and against a resolution.

 

The number of ordinary shares in issue on Tuesday, 18 June 2024, was 1,855,251,735.
