AMEC Secures #237.5 Million Share of Seven-Year North Sea Services Contract For
Shell

London, United Kingdom (10 July 2003) - AMEC, the international engineering
services company, in joint venture with Dutch partners, has secured a strategic
seven year contract, worth an estimated #475 million (AMEC share #237.5
million), to provide extensive support services to Shell's facilities in the UK
and Dutch sectors of the Southern North Sea. The contract renews and extends
AMEC's existing operations in the Southern North Sea for Shell, which came up
for re-bid earlier this year.

The 'ONEgas' contract was jointly awarded to the AJS joint venture (AMEC, Jacobs
Engineering and Stork) by Shell UK Exploration and Production (Shell Expro) and
its sister company, Nederlandse Aardolie Matschappij (NAM). It is one of the
largest Integrated Service Contracts ever let by an oil and gas major and will
involve engineering, maintenance, modifications and logistical support for 53
offshore platforms across the Southern North Sea and onshore facilities at
Bacton in the UK and Den Helder in Holland.

Sir Peter Mason, AMEC chief executive, said: "This award illustrates the value
of AMEC's services business and the trend towards higher quality earnings
through long-term service relationships with key clients. It consolidates our
leading position in the North Sea oil and gas sector where last year, through
our relationship with Shell, we secured a similar long-term engineering services
contract covering all their Northern and Central North Sea facilities.

Up to 1200 personnel will be employed by the joint venture in three main
locations - Gt Yarmouth in the UK, Amsterdam and Assen in Holland - with support
from offices in Aberdeen, London and Lydon in Holland. It is a groundbreaking
performance based contract, which will harness cross border synergies and build
on the considerable oil and gas expertise of the joint venture partners. The
contract will be fully operational by

1 January 2004.

Neil Bruce, managing director of AMEC's Upstream business comments: " We are
delighted to have secured this significant contract awarded on behalf of our
safety record, performance improvement and value for money. We look forward to
continuing our long and mutually beneficial relationship with Shell Expro and
NAM. This success is a reflection of the quality of our Southern Operations, the
strength of the AJS relationship and the support we receive from our supply
chain."
