Quarterly-pay Securities(SM) ("SPARQS") based on Valero Energy
Corp. common stock. Priced at $17.2575 with an initial offer size
of $1,840,000 million, this equity trades under the ticker symbol
ERV and has a maturation date of April 15, 2006. The notes are
