ITEM 7.01 — REGULATION FD DISCLOSURE
     On August 6, 2010, RMX Holdings, Inc. (the “Company”) issued a press release announcing a one-time special cash dividend of $1.32 per share of common stock for shareholders of record on August 16, 2010 and payable August 23, 2010. The full text of the press release is set forth in Exhibit 99.1 attached hereto.
