Agronomics Leads Ohayo Valley's
Pre-Seed Funding Round
Agronomics, the leading listed company focused on cellular
agriculture, is pleased to announce today that the Company has
completed a subscription of US$ 1.5 million in the form of a Simple
Agreement for Future Equity ("SAFE"), in Ohayo Valley Inc ("Ohayo
Valley"). The Subscription will be paid using cash from the
Company's own resources.
Ohayo Valley is a cultivated meat company, initially focused on
producing cultivated Wagyu ribeye steak, before expanding to other
beef products. Ohayo Valley was co-founded in 2020 by Dr. Jess
Krieger. Combined, the cofounding team brings 20 years of
experience in the cultivated meat sector, including Jess' previous
position as CSO for Artemys Foods, where she led the development of
the Artemys Burger prototype.
The SAFE is expected to convert into preferred shares in Ohayo
Valley at a future equity financing round of at least US$ 1.5
million, giving Agronomics an approximate equity ownership of
18.75%. Agronomics will have the right to a board seat.

About Cellular Agriculture
Cellular Agriculture is the production of agriculture products
directly from cells, as opposed to raising an animal for slaughter,
or growing crops. This encompasses cell culture to produce
cultivated meat and materials, and fermentation processes that
harness a combination of molecular biology, synthetic biology,
tissue engineering and biotechnology to massively simplify
production methods in a sustainable manner.

protein using this technology, means that we are on the cusp of a
multi-decade flow of capital to build out manufacturing facilities.
Funding in the field of cellular agriculture is accelerating,
however still less than US$ 1 billion has been invested worldwide
since the industry's inception in 2016.
