             Announcement regarding possible offer for the Company

The Board announces that it is in advanced discussions with Structadene Limited
regarding a possible recommended cash offer for the Company at 130p per ordinary
share.

In light of this, the Takeover Panel has consented to extend the deadline
referred to in its announcement on 22 August 2003 for Structadene to make an
announcement in accordance with either Rule 2.5 or Rule 2.8 of the City Code,
until further notice.

A further announcement will be made shortly.
