NOTICE OF EARLY REDEMPTION OF DEBENTURES

Reference is made to the terms and conditions of the Debentures set out in a trust indenture dated as of August 21, 1986 (the "Trust Indenture") constituting the Debentures. Capitalised terms used in this notice (the "Notice") and not otherwise defined herein shall have the meanings set out in the Trust Indenture.

The Issuer, having received the prior written approval from the Office of the Superintendent of Financial Institutions Canada (OSFI), hereby gives notice to the Debentureholders that it will fully redeem U.S.$55,990,000 aggregate principal amount of the Debentures, being all of the Debentures outstanding on August 31, 2023 (the "Early Redemption Date"), pursuant to Article Four of the Trust Indenture. The Debentures will be redeemed on the Early Redemption Date at a price equal to 100 per cent. of their principal amount plus accrued but unpaid interest from, and including, February 28, 2023 to but excluding the Early Redemption Date. Interest on the Debentures shall cease to be payable from and after the Early Redemption Date.

Payment in respect of the Debentures will be made through Euroclear Bank SA/NV and Clearstream Banking ,S.A. in accordance with standard procedures.
