SOUTHERN WATER SERVICES LIMITED ANNOUNCES SUBSTITUTION OF ITS
CAYMAN COMPANY
3 October 2022
Southern Water Services Limited ("SWS") announces today that a
Substitution Event (as described in the trust deed dated 23 July
2003 (as amended or supplemented from time to time (the "Bond Trust
Deed")) has occurred on 30 September 2022, as detailed in the
announcement on 30 September 2022. Following the Substitution Event
(as described in the Bond Trust Deed), Southern Water Services
(Finance) Limited, a company incorporated in the Cayman Islands
(the "Cayman Issuer"), has been substituted with SW (Finance) PLC,
a public limited liability company incorporated in England and
Wales, as the issuer of the debt issued by the Cayman Issuer in
respect of the following series of bonds:
(a) Sub-Class A12 GBP375,000,000 2.375 per cent. Sustainable
Bonds due May 2028 (XS2180916525) (guaranteed by Southern Water
Services Limited, SWS Holdings Limited and SWS Group Holdings
Limited);
(b) GBP450,000,000 Sub-Class A13 3.00 per cent. Sustainable
Bonds due 2037 (XS2180916871) (guaranteed by Southern Water
Services Limited, SWS Holdings Limited and SWS Group Holdings
Limited); and
(c) GBP300,000,000 Sub-Class A14 1.625 per cent. Sustainable
Bonds due 2027 (XS2325617939) (guaranteed by Southern Water
Services Limited, SWS Holdings Limited and SWS Group Holdings
Limited).
The substitution of the above listed bonds and of those listed
in the related SWS announcement published on 30 September 2022 will
be effective on the London Stock Exchange on 4 October 2022.
The next step will be to remove the Cayman Issuer from the SW
Financing Group. Implementation of its removal will be announced as
soon as practicable.
