Merger Update:


The OFT has decided, on the information currently available to it, that a
relevant merger situation, under the provisions of the Enterprise Act 2002, has
not been created in the following merger:


Anticipated acquisition by Sky Holdings Limited (a wholly owned subsidiary of
British Sky Broadcasting Group plc) of 365MediaGroup plc


The text of this decision will be placed on the Office of Fair Trading's web
site at www.oft.gov.uk and will also appear in the Office's Weekly Gazette as
soon as is reasonably practicable.
