("Capital One" or the "Company") 
        Change of name, change in holdings and change in regulated status 
Capital One gives notice to the Issuers that, following the resolution passed at 
the Company's general meeting held on 19 November 2010, the Company has changed 
its name from Capital One Bank (Europe) plc to Capital One (Europe) plc and 
following a written resolution of the board of directors of the Company, the 
Company's registered office became Trent House, Station Street, Nottingham NG2 
3HZ with effect from the same date. 
Capital One further gives notice of the internal reorganisation of its parent 
undertakings.  All the share capital in the Company's direct parent undertakings 
(Capital One Investments Limited ("COIL") and Capital One Holdings Limited 
("COHL")) was previously held by Capital One Bank (USA) N.A. ("COBNA"). 
Pursuant to the written resolutions of the board of directors of each of COIL 
and COHL, passed on 23 November 2010, the entire share capital of COIL and COHL 
was transferred from COBNA to Capital One Global Corporation (a Virginia 
corporation).  The entire share capital of Capital One Global Corporation is 
held by COBNA. 
Capital One further gives notice that with effect from 1 December 2010, the 
Company became an authorised payment institution within the meaning of the 
Payment Services Regulations 2009 and will be regulated by the UK Financial 
Services Authority.  As part of this change, the Company varied certain of its 
permissions under the Financial Services and Markets Act 2000 ("FSMA") with 
effect from the same date, including by way of cancellation of its permission 
under FSMA to accept deposits.
