as Issuer of the

U.S.$1,500,000,000 5.500 per cent. Notes due 2022 (XS0701035676 and US44985GAD34)

U.S.$750,000,000 6.875 per cent. Notes due 2041 (XS0701227075 and US44985GAE17)

EUR850,000,000 3.625 per cent. Notes due 2023 (XS0860584308)

(together, the Notes)

1 December 2021. NOTICE IS HEREBY GIVEN of the intended substitution of MDGH GMTN (RSC) Ltd in place of MDGH - GMTN B.V. as Issuer of the Notes pursuant to Condition 11(c) of the relevant Notes. Subject to the requirements set out in paragraphs (i) - (vi) of Condition 11(c) of the relevant Notes having been satisfied, with effect from and including 22 December 2021, all rights, obligations and liabilities of MDGH - GMTN B.V. under or pursuant to the Notes listed above will be assumed by MDGH GMTN (RSC) Ltd as if it had been the original Issuer of such Notes.

Copies of the Substitution Deed Poll and the legal opinions required to be delivered pursuant to the requirements set out in Condition 11(c) of the Notes shall be available for inspection at the specified office of each Paying Agent.

Capitalised terms used but not defined in this notice shall have the same meanings given to such terms in the Conditions of the relevant Notes.
