Completion of 31 March 2012 Share Conversion

Following the publication of the final month-end net asset values for 31 March 2012, the following share conversion ratios have been determined in accordance with the articles of incorporation of the Company for the purposes of the 31 March 2012 share conversion date:

1.646928 Euro shares per Sterling share

The net asset values per share of the Sterling Shares and the Euro Shares as at 31 March 2012 were:

GBP 1.3237 per share

EUR 0.9643 per share

An FX rate of Euro/GBP of 1.19978 as at 31 March 2012 was used.

On the basis of aggregate applications received and using the conversion ratios listed above, the following shares will be issued:

   -    39,159 new Euro shares of No Par Value and 

and the following shares will be cancelled:

   -    23,777 Sterling Shares of No Par Value 

all with effect from 10 May 2012.

Application has been made to the Financial Services Authority ("FSA") for 39,159 new Euro shares to be admitted to the Official List of the UK Listing Authority and admitted to trading on the London Stock Exchange's main market for listed securities.

Admission is expected to occur on 10 May 2012 and shareholder CREST accounts for converting shareholders are expected be updated at 8am on that date.

Following issue and cancellation of the relevant shares, the total number of shares in issue and voting rights in each class will be as follows:

   -    153,300,124 Sterling Shares 
   -    9,412,013  Euro Shares 

The total of these figures (162,712,137) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency rules.
