Acta S.p.A. (AIM: ACTA) announces the retirement of the Company's Chairman, Robert Drummond, on grounds of ill health. It is the Company's understanding, based upon independent advice it has received, that his Board responsibilities will continue until a replacement is found.

In addition, the Company remains subject to the Concordato in continuità aziendale ex art. 160 e seguenti R.D. 16 Marzo 1942 n. 267 ("Concordato"), which it entered into in December 2014 in order to protect the assets and intellectual property of the business.

The Company continues to trade under the protection of the Court during this period. However, based on the current status, the Board sees very little prospect that value will be recovered by the shareholders following the proposed restructuring transaction.
