Sub:  Sale and Transfer of Ready Mix Concrete undertaking

We are pleased to inform you that the shareholders have approved by means of
Postal Ballot, the sale and transfer of our Ready Mix Concrete (RMX) business to
our wholly owned subsidiary, ACC Concrete Limited (ACL).

The result of Postal Ballot is attached.

                          RESULT OF POSTAL BALLOT

Pursuant to Section 192A(2) of the Companies Act 1956, read with the Companies
(Passing of the Resolution by Postal Ballot) Rules 2001 a Notice dated November
1, 2007 was sent to shareholders seeking their approval through postal ballot to
the Ordinary Resolution for sale/transfer of the Company's Ready Mix Concrete
(RMX) Undertaking  as a going concern on a slump sale basis to its wholly owned
subsidiary, ACC Concrete Limited, for a total consideration of not less than
Rs.100 crores.

The Result of the voting conducted through Postal Ballot is as under

The Ordinary Resolution as per the Notice dated November 1, 2007 for sale of
Company's Ready Mix Concrete Undertaking is accordingly hereby declared as
passed with the requisite majority.
