               Completion of Share Purchase Agreement and Placing

Friday, 31 August, 2007 - Further to the announcement released on 23 August 2007
in connection with the proposed acquisition of Synpart AG ("Synpart"), a German
based specialist Oral Care and Sports Bandages company (the "Acquisition"), the
Board of Alltracel Pharmaceuticals Plc., ("Alltracel" or the "Company"), (AIM:
AP.L), is pleased to announce that it has today entered into a Sale and Purchase
Agreement in relation to the Acquisition (the "SPA").

As previously announced, the total maximum consideration for the Acquisition
remains at Euro6.3m. However, the upfront cash consideration of Euro3.3m has been
reduced by Euro650,000 to Euro2.65m. The value placed on the shares in Westone which
the Company is issuing to the vendors, and the aggregate value of the put
option, has been increased commensurately. The other terms of the SPA, as
announced on 23 August, 2007 remain the same.

Following the execution of the SPA, the conditional placing, details of which
were previously disclosed in the announcement referred to above, will now
proceed. Application has been made to the London Stock Exchange for 12,920,000
new ordinary shares of Euro0.0125 each in the capital of the Company to be admitted
to trading on the AIM Market of the London Stock Exchange. The admission of and
dealings in of these shares is expected to commence on 3 September, 2007. The
Acquisition remains conditional on admission of these shares.
