BOARD STRUCTURE

On 29 January the Board announced that the company was
facing difficult trading conditions and that the outlook was
uncertain for the year to 31 March 1999.  The trading
background continues to be difficult and in the light of
this the Board has taken a number of steps to reduce the
Group's cost base.  These actions will result in cost-
savings in the financial year to 31 March 2000 of
approximately #400,000.  The cost of these measures is
estimated at around #300,000, which will be charged as a one-
off item in the results for the year ended 31 March 1999.

As part of these arrangements, Mr Stuart Lloyd has agreed to
stand down as Chairman and Chief Executive with immediate
effect.  The Board would like to thank him for his hard work
over the last three years on behalf of the company and
shareholders.  During his time as Chief Executive he has
overseen the transformation of Banner Chemicals from a group
with three separate activities, carbons, environmental
engineering and chemical distribution into a business purely
focussed on its core chemical activities.

The Board are pleased to announce that Mr Alan Howarth has
been appointed Group Managing Director with immediate
effect.  Mr Howarth (37) has been with the company for 14
years, most recently as commercial director, and brings with
him a wealth of experience in the core business.

Mr John Dewhurst will take the position of interim Non-
executive Chairman until a permanent replacement can be
appointed.
