                             Result of AGM and EGM


At the annual general meeting of Bright Futures Group Plc ("Company") held on 25
July, all of the resolutions proposed were passed.

At the extraordinary general meeting of the Company held immediately following
the AGM, the resolution proposed pursuant to section 142 of the Companies Act
1985, to the effect that no further steps should be taken in light of the fact
that the net assets of the Company are less than half of the Company's called-up
share capital, was passed.
