                            PRE-CLOSE TRADING UPDATE

Carter & Carter, the leading provider of learning solutions and outsource
support services, provides the following pre-close trading update for the year
ended 31 July 2007.

The Board of Carter & Carter ('the Board') expects adjusted profit before tax*
for the year ended 31 July 2007 to be in line with the guidance given in the
trading update statement that was made on 13 July 2007. A cost reduction
programme is being implemented and the Board will continue to keep the costs of
the Group under detailed review.

The Board is pleased to announce that the Group has achieved a good level of
success in the Learning & Skills Council's recent work based learning tender
round. It is estimated that the LSC has put around #140 million of work based
learning activity out to tender. From this the Group has secured new additional
business across a range of existing sectors in all nine English regions which
will generate estimated annualised revenues of at least #10 million.

The search for a new Group Chief Executive is progressing well. A short list of
strong potential candidates has been identified and interviews have commenced.

Discussions with the Group's bankers are continuing and a further update will be
provided when the Group's preliminary results are announced in October.

* Adjusted profit before tax is stated before amortisation of intangible assets
and exceptional costs
