In  conformity with the Disclosure and Transparency Rule 5.6.1, Downing Absolute 
Income VCT 1 plc announces the following: 
 
 
 
The Company's capital at 31 May 2012 consisted of: 
 
8,061,109 Ordinary Shares of 50 pence each, and 
 
8,994,057 C Shares of 0.1 pence each. 
 
 
 
The Company does not hold any shares in treasury. 
 
 
 
Therefore,  the total number of voting rights  in Downing Absolute Income VCT 1 
plc is 17,055,166. 
 
 
 
The  above takes account of  any shares that have  been recently bought back for 
cancellation, even if such transactions have not yet settled. 
 
 
 
The  above  figure  may  be  used  by  shareholders  as  the denominator for the 
calculations  by which they will determine if  they are required to notify their 
interest in, or a change to their interest in, Downing Absolute Income VCT 1 plc
