   Offer for Subscription - Supplementary Prospectus

   Downing THREE VCT plc (the "Company") announces that it published a 
supplementary prospectus on 13 May 2014 in respect of the Offer for 
Subscription of up to, in aggregate, 25,000,0000 H Shares of 0.1p each 
("H Shares") together with an over-allotment facility of up to, in 
aggregate, a further 10,000,000 H Shares (the "Supplementary 
Prospectus"). 
 
   The Supplementary Prospectus is required as a consequence of the Company 
having published on 28 April 2014 its annual report and accounts for the 
period ended 31 December 2013. 
 
   The Supplementary Prospectus has been approved by the UK Listing 
Authority and will shortly be available to view at the online viewing 
facility of the National Storage Mechanism at the following website
