   Downing THREE VCT plc (the "Company") announces that it has published a 
Prospectus (comprising a Securities Note, Registration Document and 
Summary) to raise up to GBP25 million net proceeds (the "Offers") 
through a new share class issue. 
 
   The Company has also published a circular (the "Circular") seeking 
shareholder approval for matters in connection with the Offers and 
giving notice for a General Meeting to be held on 8 January 2015. 
 
   The Offers opened on 11 December 2014 and are expected to close no later 
than 3.00pm on 2 April 2015 in the case of the 2014/15 Offer and 3.00 pm 
on 30 April 2015 in the case of the 2015/16 Offer (unless previously 
extended). The Offers are for up to 25,000,000 J Shares in the Company.
