   Issue of Equity (Correction) 
 
   The announcement released by the Company on 18 September 2015 entitled 
"Issue of Equity" contained an error in respect of the number of J 
Shares that were issued. The correct number of J Shares issued was 
864,010 and not 911,400 as originally stated. The full corrected text of 
the announcement is as follows: 
 
   The Directors of Downing THREE VCT plc announce an allotment on 18 
September 2015  of J shares of 0.1p each ("J Shares") pursuant to the 
Offer for Subscription that opened on 11 December 2014 ("Offer") as 
follows: 
 
   864,010 J Shares at an average price of 105.48p 
 
   Application for the J Shares to be admitted to the Official List of the 
UK Listing Authority and to trading on the London Stock Exchange's 
market for listed securities will be made shortly. Dealings are expected 
to commence on or around 25 September 2015. 
 
   Following this allotment, the issued share capital and total voting
