ISSUE OF EQUITY

The following replaces the Issue of Equity announcement released 31 March 2006
at 15:42hrs under RNS number 7967A.  One subscriber for 7,725 Ordinary Shares
was included in the announcement in error.

The full correct version of the announcement appears below:

Eclipse VCT 3 plc announces that at a board meeting held on 30 March 2006,
2,783,521 Ordinary Shares of 10 pence each were issued and allotted to 409
subscribers at a price of 100 pence per share under the 2005/06 Offer for
Subscription.  The current issued share capital of the Company is now 23,861,128
Ordinary Shares.

Application for the new shares to be admitted to the Official List of the UK
Listing Authority and to trading on the London Stock Exchange's market for
listed securities will be made at the earliest practical opportunity.




The Company also wishes to correct an announcement released on 15 November 2005.

The following replaces the Issue of Equity announcement released 15 November
2005 at 08:29hrs under RNS number 1309U.  One subscriber included in the number
of Ordinary Shares issued and allotted was overstated by 11,110 Ordinary Shares
in error.

The full correct version of the announcement appears below:

Eclipse VCT 3 plc announces that at a board meeting held on 14 November 2005,
1,144,056 Ordinary Shares of 10 pence each were issued and allotted to 209
subscribers at a price of 100 pence per share under the 2005/06 Offer for
Subscription.  The current issued share capital of the Company is now 6,069,253
Ordinary Shares.

Application for the new shares to be admitted to the Official List of the UK
Listing Authority and to trading on the London Stock Exchange's market for
listed securities will be made at the earliest practical opportunity.
