Tender Price and Tender Offer implementation

The Directors are pleased to announce that the assets comprising the Tender Pool
have now been realised. Accordingly, the Tender Price for the 10,825,825 Exit
Shares which are to be purchased by Winterflood Securities is 235.25329p per
share. It is expected that the Tender Offer consideration will be paid, CREST
accounts settled and balance share certificates despatched to Shareholders on or
around 11 November 2005.

The Directors further announce that the required portfolio realignment of the
Continuing Pool, being the disposal of the FTSE Fledgling stocks in the
Continuing Pool and the reinvestment of the proceeds of that disposal into FTSE
Small Cap stocks, has now been completed. The cost of this realignment, which
has been borne by the Continuing Pool, was significantly less than 1 per cent.

The definitions set out on pages 4 to 6 of the Company's Circular dated 28
September 2005 shall, unless the context otherwise requires, bear the same
meanings in this announcement.
