Proposed special meeting

The Company announces that on 6 March 2006, a Schedule 13D was filed with the
United States Securities and Exchange Commission (the "SEC") in which Smith &
Williamson Investment Management Limited ("SWIM") disclosed that it plans to
request that the board of directors of Elcom (the "Board") schedule a special
meeting of the Company's shareholders to consider the following proposals: to
amend the bylaws of the Company so as to remove the current provisions for a
staggered board of directors; to amend the bylaws of the Company to provide that
directors may be removed by shareholders for or without cause; provided the two
previous proposals are approved, to remove Robert J. Crowell, William W. Smith
and John W. Ortiz from the Board without cause, as well as to remove any other
directors who are appointed or elected by the Board between 6 March 2006 and the
date of the special meeting; and to elect Sean P. Lewis, Elliott Bance and
Justin Dignam to the Board.

SWIM also disclosed in the Schedule 13D that it has voting power over
248,277,731 of the Company's common shares (representing approximately 67.5% of
the Company's issued common shares) and that it has the right to acquire
approximately an additional 5,931,411 common shares upon the conversion of
approximately US$276,000 in principal amount of the Company's 10% Senior
Convertible Debentures.

The Company has received a letter from SWIM containing the request described
above.

The Company intends to make a filing with the SEC in relation to these proposals
shortly.
