            NOTICE UNDER SECTION 630(3) OF THE CORPORATIONS LAW

                      STATUS OF DEFEATING CONDITIONS

To:

1.   Wine Planet Holdings Limited

2.  Australian Stock Exchange Limited

3.  Australian Investments and Securities Commission

Cellarmaster Wines Pty Limited ACN 076 727 949 ("Cellarmaster") gives notice
under section 630(3) of the Corporations Law, in relation to its takeover offer
dated 10 April 2001 for the ordinary shares in Wine Planet Holdings Limited ACN
008 728 505 ("Wine Planet") (the "Offer"), that as at the date of this notice:

(a)  the offer has been freed from all defeating conditions contained in the    
     Offer (as set out in Section 2.10(a) of Cellarmaster's Bidder's Statement  
     dated 4 April 2001);

(b)  the following defeating conditions contained in the Offer have been        
     fulfilled:

    (i) the condition contained in section 2.10(a)(i) of Cellarmaster's Bidder's
        Statement that:

        "at the end of the Offer Period, Cellarmaster and its associates have   
        received minimum valid acceptances in respect of at least 55.4% (by     
        number) of Wine Planet Shares (so that Cellarmaster and its associates  
        hold a relevant interest in at least 80% of Wine Planet Shares)"; and

   (ii) the condition contained in section 2.10(a)(viii) of Cellarmaster's      
        Bidder's Statement that:

        "before the end of the Offer Period, the lessor of the property located 
        at 140-144 Parramatta Road, Camperdown, NSW unconditionally (other than 
        as to the solvency of the proposed assignee and the obtaining of the    
        consent of the mortgagee) consents to a change in effective control of  
        the lessee, Ewines Pty Ltd,and to the assignment of the leases of that  
        property and the property at 21-25 Kingston Road, Camperdown to third   
        parties;

(c)  as far as Cellarmaster knows, no defeating conditions contained in the     
    Offer have been fulfilled, other than the conditions described in paragraph 
    (b) above; and

(d)  as at the date of this notice, Cellarmaster's voting power in Wine Planet  
     is 87.52%
