    F&C Event Driven Ltd (the "Company")

    As of 17th September 2008, eight of the 21 funds in which the company is invested have prime brokerage, or other counterparty exposure
to affiliates of Lehman Brothers Holdings Inc. ("Lehman").  None of these funds has an exclusive prime brokerage arrangement with Lehman. 
Based on the information provided by the managers, we estimate that less than 1% of the Company's assets are held through Lehman accounts or
other arrangements with Lehman.  We do not anticipate that the Chapter 11 filing by Lehman will have a material effect on the NAV of the
Company's assets.
