    NOTICE
    To the holders of the
    EUR600,000,000 6.625 per cent. Guaranteed Bonds due 2010 (of which EUR195,651,000 are outstanding) (the "Bonds")
    issued by FKI plc (the "Issuer")
    unconditionally and irrevocably guaranteed by 
    FKI Engineering Limited 
    (formerly FKI Engineering PLC)
    and FKI Industries Inc. 
    (the Guarantors)

    Announcement of the Result of the Meeting of Bondholders on the Extraordinary Resolution 

    The Issuer is pleased to announce to the holders of the Bonds that, at the Meeting of such holders held at the offices of Clifford
Chance LLP at 10 Upper Bank Street, London E14 5JJ at 11:00 a.m., London time, on 18 December 2008, the Extraordinary Resolution (the form
of which was as set out in the Notice of Meeting dated 19 November 2008 and previously notified to holders of the Bonds (the "Notice of
Meeting")) was approved. Terms and expressions defined in the Notice of Meeting have the same meaning where used in this announcement.

    As a result, the Supplemental Trust Deed will be executed on the date hereof. The Bonds will be redeemed at the Early Redemption Amount
(determined in the manner described in the Supplemental Trust Deed) together with Accrued Interest, on the third Business Day after the
execution of the Supplemental Trust Deed, which is expected to be 23 December 2008.

    No offer or invitation to purchase any Bonds or proposals to Bondholders is being made pursuant to this notice. A copy of the
Supplemental Trust Deed is available at the offices of each of Barclays Bank plc at 5 The North Colonnade, Canary Wharf, London E14 4BB,
HSBC Bank plc at 8 Canada Square, London, E14 5HQ and The Royal Bank of Scotland plc at 135 Bishopsgate, London EC2M 3UR as Dealer Managers.
Copies of the Supplemental Trust Deed and Notice of Meeting are also available for inspection at the Document Viewing Facility of the
Financial Services Authority, 25 The North Colonnade, London E14 5HS.
