                       GUANGDONG DEVELOPMENT FUND LIMITED



The board of directors of Guangdong Development Fund Limited ("Company")
recommends the payment of a final dividend of US$0.01 per ordinary share for the
year ended 31 December 2004 on 29 June 2005 to shareholders on the register of
members on 15 June 2005.



The Company's Annual General Meeting ("AGM") will be held at 77/F, Two
International Finance Centre, 8 Finance Street, Hong Kong on 15 June 2005 at 10:
00 a.m. (Hong Kong time). Copies of the Company's 2004 Annual Report will be
despatched to shareholders in May 2005.



The register of members of the Company will be closed from 8 June 2005 to 15
June 2005, both days inclusive, for the purposes of establishing the entitlement
of shareholders to the final dividend and to vote at the Company's AGM.  During
such period, no transfer of shares will be effected.  In order to qualify for
the final dividend and for voting at the AGM, all transfers of shares
accompanied by the relevant share certificates must be lodged with the Company's
transfer agent, Capita IRG plc, The Registry, 34 Beckenham Road, Beckenham, Kent
BR3 4TU, England not later than 4:00 p.m. (London time) on 7 June 2005.
