Gresham Hotel Group plc ("Gresham") announces that it had received confirmation
that 3,572,215 ordinary shares in Gresham were purchased on 25th May 2004 on
behalf of Whiterain International Limited.  These shares are to be transferred
to Israel Discount Bank's custodian State Street for the account of Whiterain
International Ltd.

On 26th May 2004, Deutsche Bank, by way of Rule 8 Disclosure, announced the sale
of 3,572,215 ordinary shares on 25th May 2004.
