                         Gatekeeper Systems-Acquisition


IRVINE, Calif. - November 1, 2005 -- Gatekeeper Systems, a growing retail
technology company, has added a product line through the acquisition of the
Retail Division of DJ Products, Inc., a Minnesota based company. The cash
consideration, which was funded from existing resources, was $1.925 million, of
which $1.5 million was paid at closing, and the balance payable in 6 equal
monthly instalments commencing in December.

DJ's retail division manufactures, distributes and sells Cart Caddy(R), a line
of power assisted machines employed to collect and retrieve shopping trolleys
from car parks. Retailers utilizing Cart Caddy(R) products often see dramatic
reductions in total labour-hours associated with shopping trolley retrieval,
decreased injuries associated with manual trolley movement and reductions in
required inventory because of better equipment utilization. Cart Caddy(R) was
recently selected for use by one of the top 5 retailers in the world under a two
year supplier agreement. This agreement has been assumed by Gatekeeper as part
of the acquisition. Gatekeeper expects the acquisition to be earnings accretive
in 2006.
