                  Purchase of minority interest in subsidiary

Gatekeeper Systems Inc. ("Gatekeeper" or the "Company"), the leading retail
technology company, is pleased to announce that it has purchased the remaining
10% minority interest in Gatekeeper Systems SAS in exchange for 110,000 ordinary
shares of Gatekeeper (GKR.L).

Michael Lawler, CEO of Gatekeeper commented: "We are very pleased with the
purchase of the minority interest of our French subsidiary and believe it will
allow us to fully align the interest of management with achieving the maximum
results for the Company. We also believe that this transaction will be accretive
to our earnings in 2006".

Application has been made for 110,000 ordinary shares to be admitted to AIM, and
dealings are expected to commence on Friday 25th August 2006.
