                          Announcement in respect of 
       DTR 5.6.1 and Rule 2.10 of the City Code on Takeovers and Mergers 
 
In accordance with DTR 5.6.1 the Company confirms that as at 30 November 2010 
it had 363,940,908 ordinary shares of GBP0.005 each in issue. The ISIN code for 
the shares is KYG917851084. 
 
The voting rights of the shares are identical, with each share carrying the 
right to one vote. The Company holds no ordinary shares in Treasury. 
 
The figure of 363,940,908 may be used by shareholders as the denominator for 
the calculations by which they will determine if they are required to notify 
their interest in, or a change to their interest in, Gartmore Group Limited 
under the FSA's Disclosure and Transparency Rules. 
 
The Company notes that although, by virtue of its status as a Cayman Island 
incorporated company, the City Code on Takeovers and Mergers (the "City Code") 
does not apply to the Company, the Company is currently treating itself as if 
it were in an offer period for the purposes of the City Code. Therefore, the 
confirmation, set out above, of the number of ordinary shares which the Company 
has in issue, is also made in accordance with Rule 2.10 of the City Code.
