                             Result of Open Offer



On 18 December 2001, Hartford announced a placing of 130,959,140 new ordinary
shares of 1p each ("new Ordinary Shares") at an issue price of 1.25p each (the
"Issue Price"), incorporating an open offer of 130,959,140 new Ordinary Shares
("Open Offer Shares") on the basis of 1 Open Offer Share for every existing
Ordinary Share (the "Open Offer").


The Company announces that the Open Offer closed at 3.00pm on 15 January 2002
and that valid applications had been received at that time for 89,850,966 Open
Offer Shares, representing approximately 68.61 per cent. of the Open Offer
Shares.



Prestbury Investment Holdings Limited ("PIHL") took up its full entitlement of
53,623,710 Open Offer Shares under the Open Offer.  The remaining Open Offer
Shares not taken up by other qualifying shareholders under the Open Offer have
been conditionally taken up by PIHL at the Issue Price.  Following the issue
of shares pursuant to the Placing and the Open Offer, PIHL will hold
148,355,594 Ordinary Shares representing approximately 56.64 per cent. of the
issued share capital of the Company.  Following the issue of shares pursuant
to the Placing and the Open Offer, the Concert Party, identified in the
announcement of 18 December 2001 and comprising PIHL, Nigel Wray and Nick
Leslau, will hold 154,843,162 Ordinary Shares representing approximately 59.12
per cent. of the issued share capital of the Company.



The Open Offer remains conditional upon the admission of the new Ordinary
Shares to the Alternative Investment Market of the London Stock Exchange PLC,
which is expected to take place on 18 January 2002.  For the avoidance of
doubt the new Ordinary Shares will be admitted to trading to the Alternative
Investment Market of the London Stock Exchange and not to the Official List as
was stated in the Company's announcement on 10 January 2002.
