   Recommended Offer by Collins Stewart on behalf of Erinaceous Group plc for
                         Hercules Property Services plc



              Admission to the Official List and to trading on the
               London Stock Exchange's market for list securities



Offer declared wholly unconditional



Erinaceous Group plc ("Erinaceous" or the "Company") hereby declares the Offer
for Hercules Property Services plc wholly unconditional save for Admission to
the Official List and to trading on the London Stock Exchange that will happen
at 8.00am today.



Erinaceous also announces that, as at 3.00 p.m. on 21 October 2004, valid
acceptances of the Offer had been received in respect of a total of 15,845,131
Hercules Shares, representing approximately 82.32 per cent. of the issued
ordinary share capital of Hercules.



The move to the Official List does not affect the holdings of existing
shareholders of the Company. The Company's RIC code remains "ERG". Cancellation
of Hercules' listing on the Official List will be approximately 20 business days
from the date of this announcement.



It is anticipated that payment of the cash element of the consideration under
the Offer and share certificates in respect of new Erinaceous Shares will be
dispatched and CREST accounts credited for those shareholders who hold Hercules
shares in uncertificated form by 4 November 2004 for those Hercules Shareholders
who have accepted the Offer at Admission. Consideration in respect of valid
acceptances of the Offer received after 22 October 2004 when the Offer was
declared wholly unconditional will be dispatched to accepting Hercules
Shareholders within 14 days of such receipt.



The board of Erinaceous urges that Hercules Shareholders who have not yet
accepted the Offer, and wish so to do, should complete and dispatch their Forms
of Acceptance as soon as possible. Any Hercules Shareholder who has any
questions, or require a further copy of the Offer Document or Form of
Acceptance, should telephone Capita IRG on 0870 162 3100.



Copies of the Listing Particulars, dated 21 October 2004, are available for
inspection at the Document Viewing Facility of the Financial Services Authority,
25 The North Colonnade, London, E14 5HS during normal business hours on any
weekday (excluding Saturday, Sunday and public holidays) from the date of this
announcement until the date one month following Admission.
