                         Result of EGM and Cash Placing

In Cup Plus plc ("In Cup" or the "Company") announces that at the extraordinary
general meeting ("EGM") of the Company held earlier today, the resolutions put
to shareholders were duly passed.

Application has been made for the admission to trading on the AIM market of the
London Stock Exchange of a further 37,333,333 ordinary shares of 1p each in In
Cup (the "Placing Shares") pursuant to the Placing. The Placing Shares will
represent approximately 27.7 per cent. of the Company's enlarged issued share
capital.

It is expected that dealing in the Placing Shares, which will rank pari passu in
all respects with the existing ordinary shares, will commence at 8.00 a.m. on 21
August 2006. The total number of shares in issue following completion of the
Placing will be 134,803,333.
